This management agreement has been entered into by and between NurtureU Technologies Limited, having their principal place of business at Al Hamra Industrial Zone, Dubai, UAE., ( The “Company”), and “You” (the “Client”) who agrees to be bound by this Agreement
Service
The company agrees to provide digital services that range from Website Development & Management, Digital Marketing, CRM , IT Consolidation.
Authorization
Client hereby authorizes the Company to access their Webs hop, Databases, Social Media Accounts, Stock Library for graphic and audio materials, FTP/SFTP, SSH and admin panel access to the hosting server providing active username and password combinations assuring that required permissions are in place.
Confidentiality
Security: Each party must unless it has the prior written consent of the other party: keep confidential at all times the Confidential Information of the other party; effect and maintain adequate security measures to safeguard the other party’s Confidential Information from unauthorized access or use; and disclose the other party’s Confidential Information to its personnel or professional advisors on a need to know basis only and, in that case, ensure that any personnel or professional advisor to whom it discloses the other party’s Confidential Information is aware of and complies with.
Permitted disclosure: The obligation of confidentiality in clause 6 does not apply to any disclosure or use of Confidential Information:
for the purpose of performing the Agreement or exercising a party’s rights under the Agreement;
which is publicly available through no fault of the recipient of the Confidential Information or its personnel;
which was rightfully received by a party to the Agreement from a third party without restriction and without breach of any obligation of confidentiality.
Errors and access to the site
You are solely responsible for the accuracy and appropriateness of all data and content within your website, including but not limited to the following: contact information, email communications, spelling & grammar, privacy policies, image alt tags, site metadata, image metadata, nurtureu.tech will not be held responsible for inaccurate information and any potential damages caused by such inaccuracies. You further understand that nurtureu.tech may not maintain copies of files or documents that are sent by you and that you are solely responsible for backing up this data.
Limitation of liability
We are not liable to you or any other person for damages of any kind, including without limitation any punitive, exemplary, consequential, incidental, indirect or special damages (including, without limitation, any personal injury, lost profits, business interruption, loss of programs or other data on your computer or otherwise) arising from or in connection with use of the site, the services, the materials, your content, the commercial products or any third party user generated content available on or through the site, whether under a theory of breach of contract, negligence, strict liability, malpractice or otherwise, even if nurtureu.tech has been advised of the possibility of such damages. you hereby release nurtureu.tech and hold nurtureu.tech and its parents, subsidiaries, affiliates, licensors, and their officers, directors, trustees, affiliates, subcontractors, agents and employees, harmless from any and all claims, demands, and damages of every kind and nature (including, without limitation, actual, special, incidental and consequential), known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with the use of the services, materials, site, your content, commercial products or any third party user generated content available on or throughout the site. You hereby waive the provisions of any state or local law limiting or prohibiting a general release.
